355 <br /> <br />RESOLUTION NO. 98-0~? <br /> <br />A RESOLUTION OF THE CITY COUNCIL OF THE <br />CITY OF SANTA ANA APPROVING AN AMENDMENT <br />TO A PROJECT IMPLEMENTATION AGREEMENT D2qD <br />MAKING ENVIRONMENTAL FINDINGS RELATED <br />THERETO <br /> <br /> WIqEREAS, on or about January 4, 1988, the City Council <br />entered into that certain Development Agreement (the "Development <br />Agreement") related to a ± 62 acre site commonly know~l as <br />MacArthur Place (the "Project); and <br /> <br /> WHEREAS, on or about April 21, 1998 the City Council entered <br />into that certain Project Implementation Agreement (the <br />~Implementation Agreement") with First American Financial <br />Corporation ("First American") as buyer of a ± 40 acre portion of <br />the Project (the "Site"), and MacArthur Place LLC as successor in <br />interest to the original owner of the Project for the purpose of <br />clarifying certain rights and duties under the Development <br />Agreement; and <br /> <br /> WHEREAS, First American has sought City approval to amend <br />their site plan necessitating minor amendments to the <br />Implementation Agreement, (the "Amendment"), a copy of which is on <br />file with the Clerk of the Council. <br /> <br /> NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE <br />CITY OF SANTA ANA AS FOLLOWS: <br /> <br /> 1. The Amendment is hereby approved, and the Mayor is <br />authorized and directed to execute same on behalf of the City, <br />with such non-substantive changes as may be recommended by the <br />City Attorney. The City Manager is hereby authorized and <br />directed to execute any and all dedications, irrevocable offers of <br />dedication (including those amended and restated), quitclaims, <br />acceptances and conveyances necessary to carry out the intent of <br />this approval and the amended site plan. <br /> <br /> 2. By Resolution No. 98-39, the Santa D~na Planning <br />Commission made certain environmental finding, which the Council <br />hereby finds adequate for its action herein. <br /> <br />-1- <br /> <br /> <br />
