FIRST AMENDMENT TO <br /> Pa~ ~, ~/~ o/o ~ CONSULTANT AG~EMENT <br /> <br />~-,2 - THIS FIRST AMENDMENT TO CONSULTANT AG~EMENT, is entered <br /> into this [~ day of ~ , 2003, by and between Rainm&er Thi~ing, Inc., a <br /> Co~ecticut co~oration ("Consult~t") ~d the City of S~ta Ana, a cha~er city and <br /> municipal co~ormion of the Stme of California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement No. N-2003-006, dated January 31, 2003, <br /> (hereinafter "said Agreement") by which Consultant has presented a staff workshop <br /> related to training in management development, particularly "managing the <br /> generation mix". <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br /> amend the Scope of Services and Compensation to provide additional training. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows: <br /> <br />"Consultant shall perform those services as set forth in Exhibit A to said Agreement. <br />Additionally, Consultant shall present a session that expands on the original <br />"Managing the Generation Mix" presentation and another session of the original <br />presentation, as set forth in Exhibit A-l, attached hereto." <br /> <br />2. Section 2 a., COMPENSATION, shall be amended to read as follows: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A to said Agreement and Exhibit A~ 1, <br />hereto. Consultant's compensation under said Agreement and this First Amendment <br />shall not exceed $3,500.00 per day for the presentation, plus those reasonable <br />incidental expenses explicitly referenced in Exhibit A and A-I. The total sum to be <br />expended during the term of said Agreement shall not exceed $10,000.00, including <br />expenses." <br /> <br />3. Section 9, NOTICE, shall be amended to add the following recipient for courtesy <br /> copy: <br /> <br />Executive Director of Personnel Services <br />City of Santa Ana <br /> <br /> <br />
