INC. <br />THIS AGREEMENT, made and entered into this ~ day of ~L 2001 by <br />and between Vet Care Vaccination Services, Inc., a Califomia corporation (h einafter <br />"Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of Califomia (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />providing low cost dog and cat vaccination clinics to serve City residents. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standazds as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall conduct low cost dog and cat vaccination clinics for the City at times <br />and dates convenient for both parties at locations to be mutually agreed upon. City agrees that <br />no "implied professionalism", as that term is interpreted by regulatory agencies of the State of <br />Califomia, shall accrue to City or any of its facilities or locations from the conduct of said <br />vaccination clinics ("Clinics"). Consultant shall perform all services as set forth in Exhibit A to <br />this Agreement, "Proposal For City of Santa Ana", submitted by Consultant in response to City's <br />Request for Proposals. <br />2. OBLIGATIONS OF CONSULTANT <br />A. Consultant shall provide vaccinations, de-worming, flea control, and diagnostics for <br />dogs and cats at clinics held in the City. <br />B. Consultant shall provide vaccinations as a totally independent organization, and not <br />as an employee, subcontractor, or affiliate of the City. <br />C. Consultant shall advertise clinics by means of generally accepted media, such as <br />direct mail, print advertising, flyers, posters, and public relations efforts to promote <br />clinics, and further agrees to work with the City to disseminate advertising <br />information. <br />D. Consultant shall provide clinic attendees with educational materials regarding how to <br />protect their pets from contagious diseases. <br />
