A-2001-0 25 (; t:. · ':"5; ~..:.'° THIS AG]~EEMENT, made and entered into t~ds f~_l~/ day o£ ~¢~.~ , 2001 by and between Hood Services, Inc., a California Corporation (bereina~er "Contractor"), and the City o£ Santa A~a, a cha~ter city and municipal corporation organized a~d existing under tbe Constitution and laws of tbe State of California (bereinafter "City"). RECITALS The City desires to acquire the services and equipment of a capable and experienced food and beverage vending machine contractor to provide refreshments at reduced cost for City employees at four (4) separate City-owned locations. B. The City has reviewed applications from other vendors, and has determined that the offer from Contractor is the most beneficial to the City. C. Contractor represents that Contractor is able and willing to provide such services to the City. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected fi'om a professional vending services company. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Contractor shall perform those services as set forth in Exhibit A "Proposal for Vending Service" to this Agreement. In addition, the Contractor shall be responsible for the following terms and conditions: a) Contractor shall provide "reduced prices" on all vending machine products. The term "reduced prices" shall mean the mutually agreed upon discounted prices on all vending machine products provided by Contractor to City. The Contractor and City shall mutually agree upon price of all vending machine items. b) Contractor shall provide to City thirty (30) days prior notification in writing of any price increase for items dispensed in vending machines. Any increase in price must be agreed upon in writing by City and Contractor. c) Contractor shall provide a performance bond, subject to approval by the City Attorney's office, in the amount of $20,000.00, which covers proper service and performance under contract terms and proper payment within ten (10) working days following an award of contract.
