r) Contractor shall comply with all applicable federal, state and local laws pertaining to <br /> wages and hours of employment. <br /> <br />The City shall be responsible for the following terms and conditions: <br /> <br />a) City shall, without cost to Contractor, provide Contractor with necessary space for the <br /> operation of said vending services, and shall furnish without cost to Contractor all <br /> utilities and facilities reasonable and necessary for the efficient performance of this <br /> agreement by the Contractor, including but not limited to the following: heat, hot and <br /> cold water, steam, gas, electric, garbage removal, and telephone services. The City <br /> will, at its own cost and expense, install any such utility outlets at the designated <br /> areas where the vending equipment is to be located. The site, number, and suitability <br /> of vending equipment to be installed shall be approved by City. <br />b) City shall maintain its facilities where the vending services are performed in a safe <br /> operating condition such that no Contractor employee is exposed to or subjected to <br /> any unsafe situation which would violate Occupational Safety and Health Act, <br /> including but not limited to general duty and the specific duty clause thereof, or any <br /> similar federal, state and local law or regulation. <br />c) City shall provide building maintenance and janitor service, without cost to <br /> Contractor, in order to sweep, mop and keep the vending services area and the <br /> premises in a safe and clean condition. <br /> <br />2. FINANCIAL ARRANGEMENT <br /> <br /> City agrees to waive payment by Contractor of a percent of revenues fi.om vending <br />machine sales, in exchange, Contractor agrees to provide vending machine products at a reduced <br />cost. <br /> <br />3. TERM <br /> <br /> This Agreement shall commence on the date first written above and terminate on <br />//.~',~ ] , 200_6, unless terminated earlier in accordance with Section 12, below. <br /> <br />4. DEFAULT AND TERMINATION: <br /> This Agreement may be terminated by the non-defaulting party if the other party <br />materially fails to perform or comply with this Agreement or any provision hereof. The non- <br />defaulting party may cancel the Agreement by sending a Cancellation Notice describing the non- <br />compliance to the non-complying party. Upon receipt of such Cancellation Notice, the non- <br />complying party shall have forty-five (45) days from the date of such notice to cure any such <br />non-compliance. If such non-compliance is not cured within the required forty-five (45) day <br />period, the party providing the Non-Compliance Notice shall have the right to cancel this <br />Agreement. The rights of termination referred to herein are not intended to be exclusive and are <br />in addition to any other rights available to either party in law or in equity. <br /> <br />5.
