INTERG H <br />Mapping and GIS Solutions <br /> <br />CU%TOMER SERVICE <br /> <br />Software Maintenance Service Conwact <br /> <br />1.0 PERIOD OF PERFOI~MANCE <br /> <br />During the Contract period specified on the Intergraph <br />Mapping and GIS Solutions (hereinafter referred to as <br />"Intergraph") Quote/Contract, the Customer attthorizes <br />Intergraph to provide maintenance se~Mce }hr all items listed <br />on the Quote/Contract. Such services Mil be provided in <br />accordance with the Scope of Work as specified in Section <br />3.0, or if applicable, an additional sepm'ately executed Scope <br />of Work. Approxinmtely sixty (60) days prior to the <br />Contract expination date, intergraph will submit to the <br />Customer a Quote that includes pricing for the upcoming <br />twelve (12) month Period. The Customer must pm,fide <br />Intergraph with xwitten notice of intent to either tern~nate <br />coverage or agree to the rotes and terms of the Quote by <br />providing a signed Contract or Ptu-chase Ordcr. lfCustomer <br />fails to provide a timely ,,witlen notice of intent, Intergraph <br />will, at its option, either asstwne the offer has been accepted <br />by rite Customer, or terminate coverage, ff Intergraph <br />assumes the Customer has accepted the offer, the Cttstomer <br />is liable for charges incun'ed fi'om the new Contract start date <br />until such time as the Customer notifies Intergreph of its <br />intent to temtinate the Contract. <br /> <br />2.0 CItANGES AND TERMINATION <br /> <br />2.1 Changes <br /> <br />This Contract can be changed or modified in one of <br />the Ibllowing ways: <br /> <br />(a) During the Contract period, Intergraph provides a thirty <br /> (30) day written notice of their intent to remove any <br /> individual software product(s) fi.om coverage under this <br /> Contract. <br />Co) Custumer may remove software product(s) fi-om <br /> maintenance coverage at Contract renexval. <br /> Maintenance may not be temninated for individual <br /> software licenses that have been installed multiple times <br /> at one site or for sol,rare licenses that am being used <br /> interdependently fi.om one site. <br />(c) Any other changes or modifications must be by mutual <br /> agreement. <br /> <br />2.2 Termination <br /> <br />This Contract shall continue in full force beyond the stated <br />te~vn tmtil tem~ination is accomplished in one of thc <br />following ways: <br /> <br />(a) Customer or Intergraph prov/des a written notice of <br /> intent to terminate. This Contract shall tem~inate tNrty <br /> (30) days after the receipt of the notice. <br />(b) A new Contract between Customer ,and Intergraph is <br /> signed into effect for similar ser~4ce. <br />(c) If either party petitions for morganiz~afion under the <br /> Bankruptcy Act or is adjudicated as banlmlpt, or a <br /> receiver is appointed for either party's business, or the <br /> Customer fails to pay Intergraph any amotmt xvhen due <br /> heretmder. <br /> <br />3.0 INTERGRAPH SCOPE OF WORK <br /> <br />Software Support <br /> <br />3.1 Premimn Service <br /> <br />Software support w/Il be provided to the Customer during <br />the hours of 7:00 a.m. to 5:30 p.m. Central Time, Monday <br />through Friday, excluding Intergraph-observed holidays. <br />Software support will include and be limited to the following <br />for all software products listed on the Quote/Conh~act: <br /> <br />(a) Unlimited support via Help Desk (standard bttsiness <br /> hours) or Web. <br />(b) Twenty-four-hour-perday/seven4ays-per-week access <br /> to problem Knowledge Base, an on-line self-help tool. <br />(c) The ability to perform Web queries, submit updates, and <br /> obtain status of service mquesta 24 hours per day, 7 days <br /> per week. <br />(d) So~vare upgrades. <br /> <br />Support services are linaited to specific products as shown on <br />the Quote/Contract functioning on the appropriate Intergraph <br />supported operating systent. <br /> <br />Intergraph will provide up~'ades, when made available by <br />Intergraph, for which Premium Set,fee tins been purchased. <br />Upgrade(s) refers to subsequent releases to the so~vare <br />products covered under the Contract. <br /> <br /> <br />
