Recitals: A. The parties entered into Agreement No. N-2002-173, dated December 6, 2002, (hereinafter "said Agreement") by which Consultant has provided traffic engineering services to City. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services and extend the term of said Agreement. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows: "Consultant shall perform those services as set forth in Exhibit A to said Agreement. Additionally, Consultant shall perform those services as set forth in Exhibit A-1, attached to this First Amendment to Consultant Agreement." 2. Section 3, TERM, shall be amended to read as follows: "This Agreement shall commence on December 6, 2002 and terminate on December 30, 2003, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon a writing executed by the Executive Director of Public Works and the City Attorney." 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. // // //
