<br />8 <br /> <br />8 <br /> <br />EXHIBIT D <br /> <br />City of Santa Ana Telephone System Replacement Schedule as of June 2003 <br /> <br />NEC provides service to the City in support of its extensive private telephone system network <br />that consists primarily ofNEC equipment. As of June 2003 this network includes nine large <br />digital telephone systems (PBX's) and 20 smaller analog (key) telephone systems and one <br />Voicemail system. In addition to other services defined in this agreement, the City seeks <br />additional NEC services to upgrade the telephone systems at the City operating locations listed <br />below. Pricing for all three phases is guaranteed for nine months from the effective date ofthis <br />amendment. Should there be a decrease in either equipment or labor costs, pricing adjustments <br />will be applied accordingly. <br /> <br />Aclclitiom:¡l Sc.ope of Work <br /> <br />NEC will provide all necessary equipment, material, software, accessories and labor to replace <br />each existing City telephone system listed below with a fully functional and operational <br />replacement system. <br /> <br />P~yment Sc.heclule <br /> <br />Equipment <br />100% due upon delivery of equipment per installation site location. <br /> <br />Implementation Services <br />100% due upon acceptance of system per installation site location. <br /> <br />Equipment Df'.livery <br /> <br />Equipment will be delivered on a mutually agreed upon schedule. <br /> <br />Aœept~nc.e of System <br /> <br />The City will accept a system that has been tested and is fully functional and operational for one <br />full week after cutover. If, for any reason, a system fails its acceptance test, the time <br />measurement for acceptance will restart. <br /> <br />W~rr~nty Period <br /> <br />There will be a one-year warranty on each replacement telephone system which will cover all <br />new equipment, materials, software, accessories and labor. The warranty period will commence <br />upon City acceptance of a fully functional and operational replacement system. <br /> <br />Page I of 4 Pages <br />
