A-2oo 1-238 <br />Library • Solution Integrated Library System <br />Agreement for Santa Ana Public Library <br />HIS AGREEMENT (hereinafter referred to as "Agreement") is made between The Library <br />orporation, Inc., a corporation organized under the laws of the State of Maryland, with its principal <br />n o: place of business at Research Park, Inwood, West Virginia, (hereinafter referred to as "The Library <br />X V „Corporation' ), and City of Santa Ana, a charter city and municipal corporation organized and <br />bxisting under the Constitution and laws of the State of California (hereinafter referred to as "City" <br />or "Licensee"). <br />(� RECITALS <br />A) The Library Corporation has developed a computerized System (hereinafter referred to as <br />"Library. Solution" or "Library.Solution") consisting of Hardware and Software for Authority <br />Control, Cataloging/Database Management, Public Access Catalog, Circulation, <br />Acquisitions, Bookmobile, Homebound, Serials Control, OPAC access via the WWW, <br />external/internal multimedia Database access, internet sessions, Management Information <br />Systems, and Z39.50 server, and is currently providing System Services to libraries and the <br />City is desirous of having such services provided at its location; <br />B) The City desires to retain The Library Corporation in order to utilize Library Solution at the <br />Santa Ana Library, installed on Santa Ana hardware. <br />C) The Library Corporation represents that The Library Corporation is able and willing to provide <br />such services to the City. <br />D) In undertaking the performance of this Agreement, Library Corporation represents that it <br />is knowledgeable in its field and that any services performed by The Library Corporation under <br />this Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a library automation software firm in the field. <br />NOW, THEREFORE the parties mutually agree as follows: <br />Definitions: <br />1.1 "Hardware" is defined as all Hardware and products including, but not limited to, the (a) <br />computer, disk drives, tape drive(s), and interface, (b) CRT monitor(s) and terminals, (c) <br />barcode scanner(s), (d) printers, (e) wiring and communication devices and (f) supplies for <br />such Hardware. <br />1.1.2 "Dataserver" is defined as the computer on which the City's Database resides. <br />Library Contract Page 1 of 29 <br />
