EXPIRES CLERK OF COUNCIL DATE/~ ~}5~ FIRST AMENDMENT TO PURCHASE AGREEMENT THIS FIRST AMENDMENT TO PURCHASE AGREEMENT is entered into this 1st day of August, 2003, by and between OPEX Corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Purchase Agreement No. A-2002-031 dated April 3, 2002, (hereinafter "said Agreement") by which Consultant sold to City, and has maintained an automated mail opening machine. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the maintenance term of said Agreement for an additional one-year period. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of the Agreement, except those amended in this First Amendment to Purchase Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to provide that Consultant shall service the equipment for an additional one-year term, from July 28, 2003 through July 29, 2004, at a cost of $2,500.00 for all maintenance services provided during that one year term. 2. Section 3, TERM, of said Agreement shall be amended to extend Consultant's obligation to maintain the Model 51 mail opening machine for an additional one year period, from July 29, 2003 through July 28, 2004.
