Mgr. <br />$ <br /> <br />1706 <br />32-551-6631 <br />48493 <br />David Biondolillo <br />298.322 <br /> <br />CONSULTANT AGREEMENT <br /> <br />THIS AGREEMENT, made and entered into this <br /> <br />17th <br /> <br />day of <br /> <br />June <br /> <br />, 1994, by and between PARSONS, BRINCKERHOFF, <br /> <br />QUADE & DOUGLAS, INC., a New York corporation, ("Consultant") and <br /> <br />the CITY OF SANTA ANA, a municipal corporation of the State of <br /> <br />California ("city"). <br /> <br />WITNESSETH <br /> <br />Recitals: <br /> <br />A. <br /> <br />The city desires to retain a professional firm having <br /> <br />special <br /> <br />skill and knowledge <br /> <br />in the <br /> <br />fields of <br /> <br />engineering and <br /> <br />environmental protection for the following purpose: to prepare a <br /> <br />Caltrans Project Report and appropriate environmental documents for <br /> <br />the Alton Overcrossing at State Route 55. <br /> <br />The City prepared a <br /> <br />Request for Proposals, dated February 1994 <br /> <br />(the "RFP") <br /> <br />for such <br /> <br />purpose and distributed it to such firms. <br /> <br />B. <br /> <br />In response to the RFP, Consultant submitted a proposal <br /> <br />dated March <br /> <br />modified by a <br /> <br />28, <br /> <br />letter and revised cost <br /> <br />1994, <br /> <br />proposal dated April 27, 1994, (the "Proposal"). <br /> <br />The RFP and the <br /> <br />Proposal are public records on file in the offices of the Executive <br /> <br />Director of the City's Public Works Agency. <br /> <br />WHEREFORE, <br /> <br />in consideration of their mutual and respective <br /> <br />promises, and subject to the terms and conditions hereinafter set <br /> <br />forth, the parties her'eto do hereby agree as follows: <br /> <br />1 <br />
