9 <br />The City does not pay temporary agency employees for holidays unless they are required to <br />work that day and their time has been approved by a Department Head and then only at a <br />straight time rate. <br />The following are City Holidays <br />New Year's Day Independence Day Christmas Eve <br />Martin Luther King Jr. Day Labor Day Christmas Day <br />Presidents' Day Veterans Day <br />Memorial Day Thanksgiving Day (2 days) <br />5.18 Patent Fees; Patent, Copyright, Trade Secret And Trademark Fees <br />Each Proposer shall include in the price bid any patent fees, royalties and charges on any <br />patented article or process to be furnished or used in the prosecution of the Work. <br />All work performed by temporary employees of the City becomes the sole property of the City of <br />Santa Ana and the City retains all rights to that work. <br />5.19 Personnel Approval <br />The City of Santa Ana reserves the right to demand immediate removal and replacement of any <br />individual assigned under this agreement if, in the City's sole judgment, the person's <br />performance is unsatisfactory. <br />Vendor may offer a replacement for an unsatisfactory individual one time. If this replacement is <br />also unsatisfactory, replacement may be made by the next chosen Vendor under this contract. <br />The City reserves the right to dismiss any individual at any time and be liable for payment of <br />services only up to the time of dismissal, and provided then only if services rendered meet the <br />minimum requirements of the City. <br />5.20 Prices <br />No increase in price (in terms of either the base rate paid to employee, the percentage of <br />markup, or the total cost to the City) will be allowed during the period covered by this agreement <br />without the City's concurrence and approval. Adjustments shall be made to minimum wage that <br />are mandated by State and Federal Law. <br />Prices quoted shall be exclusive of all non - applicable Federal and State Taxes. Tax exemption <br />certificate will be furnished when required. <br />5.21 Proof Of Authority <br />If the Proposer is a corporation, formal proof of the authority of the officer signing the Proposer's <br />proposal to bind the corporation must be submitted will be required prior to the City's award of <br />the contract. A copy of the corporate resolution or minutes can be adequate proof, a simple <br />letter is not sufficient. <br />November 2001 19 <br />
