t <br />MINUTES OF SPECIAL BOARD OF DIRECTORS MEETING <br />OF <br />DATA DESIGN CORPORATION <br />A special meeting of the Directors of the above corporation was held on November 1, 2001 at <br />3:00 p.m. at the corporation's offices at 7777 Center Avenue, Suite 690, Huntington Beach, CA. <br />92647. <br />I. QUORUM. <br />A quorum was declared present based on the presence of Barbara McInnis as sole officer <br />of the corporation. <br />Appropriate motions duly made, seconded, and adopted by the Directors took the <br />following corporate actions. <br />II. FINANCIAL STATEMENTS. <br />The financial statements for the third quarter of the fiscal year ending September 30, 2001 were reviewed <br />and approved. <br />III. AUTHORIZATION OF CORPORATE ACTION. <br />The officers were authorized to take all actions and to sign all documents reasonably <br />needed to carry out all transactions necessary on behalf of the corporation. <br />There being no further business, the meeting was duly adjourned. <br />Barbara J.
