In the event CONTRACTOR does not make the above-referenced documents available within the County of <br />Orange, California, CONTRACTOR agrees to pay all necessary and reasonable expenses incurred by COUNTY in <br />conducting any audit at the location where said records and books of account are maintained. <br /> <br /> (b) Records Retention. All accounting records and evidence pertaining to ail costs of CONTRACTOR <br />and all documents related to this Agreement shall be kept available at CONTRACTOR'S office or place of business <br />for the duration of this Agreement and thereafter for three (3) years after completion of an audit. Records which <br />relate to (1) complaints, claims, administrative proceedings or litigation arising out of the performance of this <br />Agreement, or (2) costs and expenses of this Agreement to which COUNTY or any other governmental agency takes <br />exception, shall be retained beyond the three (3) years until final resolution or disposition of such appeals, litigation, <br /> <br />claims, or exceptions. <br /> FRAUD <br /> <br /> 24. CONTRACTOR shall immediately report all suspected or known instances and facts concerning <br />possible fraud, abuse or criminal activity under this Agreement, in accordance with Special Programs Division <br /> <br />Policy and Procedure Number 4, which is incorporated herein by reference. <br /> MODIFICATIONS/CHANGE ORDERS <br /> <br /> 25. (a) ByH&CSD. H&CSDmayatanytime, by written order to CONTRACTOR, make changes within <br />the general scope of this Agreement, in the definition of services and tasks to be performed, the manner in which <br />services are performed, the time and place of performance thereof and additional related provisions. Such change <br />orders may be made when necessitated by changes in the Orange County One-Stop System operations or <br />performance, the operations or performance of CONTRACTOR, or changes in applicable statutes, regulations or <br />State of California or federal mandates or directives. CONTRACTOR shall be notified by COUNTY in advance of <br />such change orders and CONTRACTOR may submit a program or budget modification request in response to <br /> <br />Cot~act/93283 <br />REV 08/25/03 <br /> <br />13 <br /> <br /> <br />
