<br /> <br />2. SCOPE OF SERVICES. Revised 2/24/04 ~~~_ <br />Licensee: Licensor: <br />Licensor shall deliver the licenses, perform services, and provide mainten ce as set forth in the <br />following exhibits attached hereto and incorporated herein by reference: <br />• Exhibit C LaserFiche Software Assurance Plan (LSAP) <br />• Exhibit D LaserFiche Clerk System Contact and Product Schedule <br />• Exhibit E LaserFiche Treasury Project Contact and Product Schedule <br />• Exhibit F LaserFiche Police Department System Contact and Product Schedule <br />• Exhibit G LaserFiche Jail Project Contact and Product Schedule <br />a. LaserFiche Softwaze Assurance Plan (LSAP). Pursuant to LSAP maintenance purchased <br />by Licensee, as represented by Licensor in Exhibit C, Licensor will provide reasonable telephone <br />support for designated software from 6:00 a.m. to 6:00 p.m. Pacific Time (excluding weekends and <br />legal holidays); and new versions and releases of the Software issued from time to time, which may <br />exchange existing functions or correct minor defects. Major new functions will be considered <br />options and will not be included under Softwaze Support. For as long as Licensee continues to pay <br />Licensor the applicable LSAP maintenance fees, and upon receipt of a written detailed report from <br />Licensee, Licensor will employ its best efforts to correct any identified substantial nonconfornity in <br />the operation of the Software to the functional specifications in the user Documentation. Licensor's <br />obligation shall not apply if the Software is not a current release or if it has been altered in anyway, <br />subjected to malfunctioning wmputer hazdwaze or abnomud operating conditions, or has been <br />accidentally damaged. If Licensee requests corrections of such a nonconformity, Licensee shall pay <br />for the time and expense which Licensor shall have incurred to investigate the nonconformity, at <br />Licensee's rates then in effect. <br />b. LSAP Anniversary Date. The LSAP Anniversary Start Date for LSAP items in Exhibit <br />D, E, F, and G shall commence on June 12, 2004, for renewal billing purposes. Prior to June 12, <br />2004, Licensor shall provide Licensee LSAP services at no chazge for existing and new licenses. <br />c. VIP Support Services. Licensor will provide Professional Services resources at <br />Licensee's site for the number of days specified for each purchased "VIP Support Plan" package <br />contained in Department Exhibits herein. Licensor's Professional Service resources can be used for <br />implementation, training, customization, or support services and will be mutually scheduled by the <br />parties. Licensor agrees to make a Professional Service resource available during regulaz Licensor <br />business hours to Licensee upon request with, at minimum, a 24 hour notice by Licensee. Licensor <br />shall sepazately track the Professional Services time consumed against each Licensee Department <br />Exhibit wntained herein and shall provide periodic usage reports to each appropriate Licensee <br />Department Contact A Licensee Deparhnent Contact may use some or all of his Department's <br />available Professional Service's time for another Department. <br />d. VIP Support Tenn. The VIP Support Plan Start Date for the VIP Support Plan items in <br />Exhibits E and F shall commence ~innn a~~n,,,P~r PXP~,~r;n„ and end on June 11, <br />2005. ,Licensor shall extend any unused existing VIP Support or <br />Professional Services Plan time, nrevinnsty;v~rcl,aaPrl, to June 11, 2004, at no additional charge. <br />e. Software License Files. Software Licenses in Exhibits D and E should be combined into <br />one set of license files for shared system use between the 2 named Departments, and same <br />combination should be made for the Licenses in Exhibits F and G. <br />2 of 20 <br />
