9. Any dispute between Depositor and a Licensee relating to or arising from this <br />Agreement shall be resolved by arbitration in accordance with the Commercial <br />Arbitration Rules of the American Arbitration Association. Unless otherwise agreed by <br />Depositor, azbitration will take place in Long Beach, California. Any court having <br />jurisdiction over the matter may enter judgment on the award of the azbitrator(s). Service <br />of a petition to confirm the arbitration award may be made by first class mail or <br />commercial express mail to the attorney for the Party or, if not represented, to the Party at <br />its last known business address. <br />10. Agent may resign and thus terminate this Agreement at any time by giving the <br />Depositor at least 90 days' notice of its intended resignation, only if any renewal fee <br />remains unpaid. <br />10.1 The following shall survive upon termination of this Agreement: a) <br />Depositor's obligations under Section 8; b) Agent's obligation of confidentiality with <br />respect to the deposit materials; c) Responsible Party's obligation to pay Agent any fees <br />or expenses due; <br />10.2 Agent shall retain such deposit for the benefit of Licensees that continue to <br />pay the annual fees for such rights. If Depositor provides instructions to deliver deposited <br />materials to another depository that accepts all Licensees, Agent will deliver them as <br />directed. If no Licensee pays the annual fee required then Agent may destroy such <br />deposited material. <br />11. This agreement may be modified by mutual agreement of Agent and Depositor.
