<br />..: <br /> <br />4. <br /> <br />5. <br /> <br />C. <br /> <br />MWDOC shall invoice the CIRTY semi-annually in January and June, al)d <br /> <br />the City will pay the full amount due on an undisputed invoice within thirty <br /> <br />(30) days of receipt of the invoice, subject to CITY accounting procedures. <br /> <br />TERM <br /> <br />A. <br /> <br />This Agreement shall become effective on the latest date of execution set <br /> <br />forth below and shall continue for a period of one year. <br /> <br />B. <br /> <br />This Agreement shall be automatically extended for an additional one-year <br /> <br />term unless the CITY or MWDOC provide the other party with written notice <br /> <br />of termination at least thirty (30) days before the new term begins. <br /> <br />C. <br /> <br />The CITY or MWDOC may terminate this Agreement upon giving thirty (30) <br /> <br />days written notice, as provided in Section 9 of this Agreement, to the other <br /> <br />party. <br /> <br />D. <br /> <br />In the event of termination, the CITY shall pay MWDOC for all services <br /> <br />performed in accordance with this Agreement up to and including the date of <br /> <br />termination. <br /> <br />E. <br /> <br />In the event of termination, MWDOC agrees to deliver to the CITY all reports <br /> <br />called for in Section 1 (F) of this Agreement within thirty (30) days. <br /> <br />INSURANCE <br /> <br />A. <br /> <br />The performance of MWDOC's services hereunder shall be in the capacity <br /> <br />of an independent contractor and not as an officer, agent, or employee of <br /> <br />the CITY. <br /> <br />B. <br /> <br />Any and all of MWDOC's personnel shall be employees, agent, or <br /> <br />subcontractors of MWDOC and not employees of the CITY, nor shall the <br />
