<br />"'~IIDJ\NCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />I - 17 - 05 <br />CLERK OF COUNCIL <br />DATE: ;). -.;( /P -04 <br /> <br />A-2003-267 <br /> <br />CONTRACTOR AGREEMENT <br /> <br />c: AJ <br />r:i~ <br /> <br />"2. ,,~. <br />THIS AGREEMENT made and entered into this .;,> \ day of January, 2004 by and <br />between Mattman Company, a California corporation (hereinafter "Contractor"), and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br /> <br />RECITALS <br /> <br />A. The City desires to retain a Contractor having special skill and knowledge in the field of <br />constructing custom 5th wheel trailers, to construct a Mobile Multi Media DUI <br />classroom. <br /> <br />B. Contractor represents that Contractor is able and willing to provide such services to the <br />City. <br /> <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br /> <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1. SCOPE OF SERVICES <br /> <br />Contractor shall construct and deliver a Mobile Multi Media Dur classroom (hereinafter <br />referred to as "Project"), as set forth in City's Request for Proposal, incorporated by this <br />reference, and Contractor's Technical Proposal dated November 3, 2003, attached as Exhibit A <br />to this Agreement and incorporated by reference. <br /> <br />2. COMPENSATION <br /> <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services, <br />the rates and charges identified in Exhibit A. The total sum to be expended under this <br />Agreement shall not exceed $160,000.00 during the term of this Agreement. <br /> <br />b. Payment by City shall be made as follows, subject to City accounting procedures: <br />. $50,000.00 shall be paid upon execution of this Agreement to provide <br />Contractor the funds required to purchase the trailer. <br />· The balance ofthe total Project price shall be paid to Contractor upon City's <br />acceptance of the fully operational Mobile Multi Media DUI classroom. <br />
