G PWA 11`` A-2004-033 <br />( "e) 8 AMENDMENT TO AGREEMENT• <br />THIS AMENDMENT, made and entered into this 15 m day of Orr- , 2004, by and between <br />Jonathan Omdorff, a sole proprietor, ("Consultant") and the City of Santa Ana, a charter city and municipal <br />corporation duly organized and existing under the Constitution and laws of the State of California ("City"), <br />collectively referred to herein as "the Parties". <br />RECITALS <br />A. The Parties entered into that certain agreement entitled "Consultant Agreement" dated February 18, 2003, <br />hereinafter referred to as "said Agreement", for providing Geographic Information Systems (GIS) support services; <br />B. The Parties hereto now desire to amend the Compensation, Term and Termination provisions of said <br />Agreement in order to in order to provide continuous uninterrupted service under the Agreement. <br />WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and <br />made, and subject to all of the terns and conditions of said Agreement as hereby amended, the parties hereto do <br />hereby agree as follows: <br />1. Section 2, the "Compensation" of said Agreement is hereby amended to reflect an additional amount not to <br />exceed $104,000.00 for 2 years service, due to an increase in the City's need for the Consultant's services <br />under said Agreement. <br />2. Section 3 of said Agreement, pertaining to "Term" of the Agreement is hereby amended to change the <br />termination date of May 31, 2004, to May 31, 2006 in order to provide necessary continuous uninterrupted <br />service to the Agency. <br />3. Section 12 of said Agreement, pertaining to "Termination" of said Agreement is hereby amended to provide <br />that said Agreement may be terminated by City and/or Consultant. <br />4. Except as hereinabove modified, the terms and conditions of said Agreement remain unchanged and in full <br />force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this Amendment to said Agreement the date and <br />year first above written. <br />ATTEST: <br />PATRICIA E.
