THIS FIRST AMENDMENT TO AGREEMENT is entered into this ZZ)d-day of Aeri I , 2004, by and between American Red Cross Orange County Chapter ( "Consultant ") and the City of Santa Ana, a charter city and municipal corporation of the State of California ( "City "). Recitals: A. The parties entered into Agreement N- 2004 -006, dated February 5, 2004, (hereinafter "said Agreement ") by which Consultant has provided CPR and First Aid Instructor training. B. The parties wish to amend said Agreement to include employee CPR and first aid training for various City employees and to increase the available compensation to pay for the additional training provided. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows: "1.a. Consultant shall teach its three -day Fundamentals of Instructor Training and First Aid/CPR.AED Instructor Class for 10 -12 participants, selected by the Santa Ana Police Department, as set forth in Exhibit A, attached hereto and incorporated by reference. b. Consultant shall provide adult CPR /First Aid instruction for selected City employees. The instruction will be provided at City facilities, on a schedule agreed between Red Cross and City's Personnel Services Agency. Each City employee participant shall be provided with an instruction manual. The class size shall not be less than 10 nor more than 80 participants." 2. Section 2, COMPENSATION, shall be amended to read as follows: a. City agrees to pay, and Consultant agrees to accept as total payment for its services, a rate of $220.00 per City employee participating in "Fundamentals of Instructor Training and First Aid/CPR.AED Instructor" class. The minimum number of participants in a class will be ten (10). b. City agrees to pay, and Consultant agrees to accept as total payment for its services, a rate of $55.00 per employee in the adult CPR/First Aid class. c. The total sum to be expended under this Agreement shall not exceed $10,000.00 during the term of this Agreement for all hours worked, travel and expenses.
