<br />. . <br />FOOD SERVICES FINANCIAL PLAN <br /> <br />nO) Price Redetermination-Prospective <br /> <br />The unit prices stated in this proposal are firm <br />for a one-(1) year period. Unit prices for the <br />subsequent 12-month period and any <br />subsequent 12-month extension(s) , shall be <br />redetermined prior to the beginning of each <br />such period. Unit prices per meal may not be <br />increased or decreased during, and shall <br />remain firm for, any such 12-month period. <br /> <br />The base period for comparison for price <br />redetermination shall be an annual, average, <br />and shall be based upon the Consumer Price <br />Index, All Urban Consumers (CPI-I), U.S. City <br />Average, Food Away From Home Index, <br />published by U.S Department of Labor (the <br />"index"). Such adjustments shall be <br />calculated using a percentage in which the <br />numerator is the Index for the second month <br />preceding the beginning of new 12-month <br />period and the denominator which is the Index <br />for the second month preceding the beginning <br />of the prior 12-month period. The percentage <br />shall be applied to the then-current per meal <br />price to determine the price for the <br />subsequent 12-month period, and such unit <br />price shall be effective the first (1"t) day of <br />such 12-month period. <br /> <br />! <br />,. <br /> <br />Termination <br /> <br />Per the specifications, either party may <br />terminate the contract for any reason, based <br />upon the RFP specifications, by providing <br />written notice. In the event of termination for <br />convenience, the County will pay ARAMARK <br />Correctional Services those costs directly <br />attributable to work done or supplies obtained <br />in preparation for completion or compliance <br />with agreement prior to termination. Provided, <br />however, that no costs will be paid which are <br />recoverable in the normal course of doing <br />business in which ARAMARK Correctional <br />Services is engaged, or costs which can be <br />mitigated through the sales of supplies or <br />inventories. In the City of Santa Ana pays for <br />the cost of supplies or materials obtained for <br />use under this agreement, said supplies or <br />material will become the property of City of <br />Santa Ana and will be delivered to the City of <br />Santa Ana Office Detention Facilities, or as <br />designated by the County Purchasing Agent. <br />ARAMARK Correctional Services will not have <br />continuing liability subsequent to termination <br />under this section with the exception of <br />accountability for materials and supplies <br />existing at the time of termination. <br /> <br />
