<br />records of CON TRACTOR are kept. In the event CONTRACTOR does not make the above-referenced documents <br /> <br />available within the County of Orange, California, CONTRACTOR agrees to pay all necessary and reasonable <br /> <br />expenses incurred by COUNTY in conducting any audit at the location where said records and books of account are <br /> <br />maintained. <br /> <br />(b) Records Retention. All accounting records and evidence pertaining to all costs of CONTRACTOR <br /> <br />and all documents related to this Agreement shall be kept available at CONTRACTOR'S office or place of business <br /> <br />for the duration of this Agreement and thereafter for four (4) years after completion of an audit. Records which <br /> <br />relate to (1) complaints, claims, administrative proceedings or litigation arising out of the performance of this <br /> <br />Agreement, or (2) costs and expenses of this Agreement to which COUNTY or any other governmental agency takes <br /> <br />exception, shall be retained beyond the four (4) years until final resolution or disposition of such appeals, litigation, <br /> <br />claims, or exceptions. <br /> <br />FRAUD <br /> <br />24. CONTRACTOR shall immediately report all suspected or known instances and facts concerning <br /> <br />possible fraud, abuse or criminal activity under this Agreement. <br /> <br />MODIFICATIONS/CHANGE ORDERS <br /> <br />25. <br /> <br />(a) By HCS/SPD. HCS/SPD may at any time, by written order to CONTRACTOR, make changes <br /> <br />within the general scope of this Agreement, in the definition of services and tasks to be performed, the manner in <br /> <br />which services are performed, the time and place of performance thereof and additional related provisions. Such <br /> <br />change orders may be made when necessitated by changes in the Orange County One-Stop System operations or <br /> <br />performance, the operations or performance of CONTRACTOR, or changes in applicable statutes, regulations or <br /> <br />State of California or federal mandates or directives. CONTRACTOR shall be notified by COUNTY in advaJjce of <br /> <br />such change orders and CONTRACTOR may submit a program or budget modification request in response to <br /> <br />WIA Cost keimbursement Contract <br />REV 9/24/03 <br /> <br />13 <br />
