<br />N - ¿;¡Of)¡)",- 173 - 0 2- <br /> <br />THIRD AMENDMENT TO <br />CONSULTANT AGREEMENT <br /> <br />THIS THIRD AMENDMENT TO CONSULTANT AGREEMENT is entered <br />into this S-hJ day of Mfl Y ,2004, by and between Urban Crossroads, Inc., a <br />California corporation ("Consultant") and the City of Santa Ana, a charter city and <br />municipal corporation of the State of California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement No. N-2002-173 dated December 6, 2002, <br />(hereinafter "said Agreement") by which Consultant has provided traffic-engineering <br />services to City. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Agreement for an additional one-year period. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this Third <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />I. Section 3, TERM, shall be amended to read as follows: <br /> <br />"This Agreement shall commence on December 6, 2002 and terminate on June 30, <br />2005, unless terminated earlier in accordance with Section 12, below.
