<br />. <br /> <br />. <br /> <br />If any term, covenant, condition or provision of this AGREEMENT is held by a court <br />of competent jurisdiction to be invalid, void or unenforceable, the remainder of the <br />covenants, conditions, or provisions hereof shall remain in full force and effect and <br />shall in no way be affected, impaired or invalidated thereby. <br /> <br />26. Limitation Period. <br /> <br />CITY, PACIFIC BELL, and AT&T agree that no claim may be asserted against the <br />any other party in connection with this AGREEMENT unless the asserting party <br />has given the other parties written notice of the claim within one (1) year after the <br />asserting party first knew or should have known of the facts giving rise to such <br />claim. <br /> <br />27. Laws Governing this AGREEMENT <br /> <br />This AGREEMENT and all questions relating to its validity, interpretation, <br />performance, and enforcement shall be government and construed in accordance <br />with the laws of the State of California. This AGREEMENT has been executed and <br />delivered in the State of California and the validity, interpretation, performance, and <br />enforcement of any of the clauses of this AGREEMENT shall be determined and <br />governed by the laws of the State of California. Both parties further agree that <br />Orange County, California, shall be the venue for any action or proceeding that <br />may be brought or arise out of, in connection with or by reason of this <br />AGREEMENT. <br /> <br />28. Attorney's Fees <br /> <br />If CITY, PACIFIC BELL or AT&T files suit to enforce this contract, the prevailing <br />party in that lawsuit will be entitled to recover reasonable attorneys' fees and costs <br />from the losing party. <br /> <br />(Continued.) <br /> <br />Page 7 of 9 <br />
