WORK J 'EED <br />CLERK ;?; ;,,, j CIL <br />DATE:. <br />C: F <br />SOFTWARE MAINTENANCE AGREEMENT <br />N- 2004 -052 <br />��• e► i0►t�G+) ' 2004 b <br />THIS AGREEMENT, made and entered into this ik-' J day of N� �7 i ' y <br />and between Principal Decision Systems International, Inc., a California corpor lion (hereinafter <br />"Consultant "), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City "). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />software maintenance and support. <br />B. City and Consultant entered into an Agreement dated January 1, 2002 (hereinafter "said <br />Agreement "), by which City purchased a license and Consultant agreed to provide <br />maintenance and telephone support for software used by City's Fire Department. Said <br />Agreement expired when the parties failed to renew the term. <br />C. The parties wish to renew the maintenance and support provisions of said Agreement <br />and to add web based support services to said Agreement. <br />D. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />E. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall provide maintenance, updates and telephone and web based suppost <br />services for Telestaff and Webstaff software, as set forth in Exhibit A to this Agreement. <br />2. COMPENSATION <br />a. City agrees to pay, and Consultant agrees to accept as total payment for TeleStaff and <br />annual maintenance fee of $3,150.00 and for Webstaff, an annual maintenance fee of $4,320.00(-p'r4'�, <br />The total sum to be expended under this Agreement shall not exceed $7,470.00 during the term ��rrvv <br />of this Agreement. <br />b. Payment by City shall be made within thirty (30) days following execution of this <br />Agreement, subject to City accounting procedures. <br />
