<br />(2) <br /> <br />The Developer shall pay the following fees, charges and costs: <br /> <br /> (a) <br />this DDA; <br /> (b) <br /> (c) <br /> (d) <br /> (e) <br />and <br /> (f) <br /> <br />Section 410. <br /> <br />The premium for any title insurance policies as set forth in Section 408 of <br /> <br />All escrow fees and recording fees; <br /> <br />The Purchase Price; <br /> <br />All notary fees; <br /> <br />Any federal, state, county or city documentary stamps and transfer taxes; <br /> <br />Any other fees, charges or costs relating to closing without limitation. <br /> <br />Schedule of Convevance. <br /> <br />Parcel A and Parcel B shall each be conveyed by the Agency to Developer in two (2) <br />separate conveyances upon the completion of the following: <br /> <br />(I) <br /> <br />Issuance of a AL T A Title Insurance Policy to Developer. <br /> <br />(2) <br /> <br />Approval by the City of entitlements specified in Section 107 of this DDA. <br /> <br />(3) <br /> <br />Developer obtaining valid building pennits from the City for said Parcel(s) <br /> <br />(4) Developer proving, to the satisfaction of the Executive Director of Agency, that <br />Developer has obtained a construction loan and such other liquid funds necessary to start and <br />effectuate construction of the Project on said Parcel(s). <br /> <br />Prior to conveyance oftitle, Agency shall be obliged to provide Developer with a Right of Entry, <br />for the purposes of conducting tests, studies and inspections, and for site preparation work <br />including grading or utility relocation pursuant to a City issued valid grading pennit. <br /> <br />Section 411. Agency's Conditions of Closing. <br /> <br />Provided the failure of any such condition is not due to a failure by the AgIiIlcy te satisfy <br />its obligations under this DDA, the Agency's obligation to proceed with the Closing for Parcel A <br />and Parcel B is subject to each and all of the conditions precedent (I) through (7) inclusive, <br />described below ("Agency's Conditions Precedent"), which are solely for the benefit of Agency, <br />and which shall be fulfilled by the Developer, or knowingly waived by the Agency, within the <br />time periods provided for herein: <br /> <br />15 <br />
