EXHIBIT F <br />MEMORANDUM OF LAND LEASE AGREEMENT <br />THIS MEMORANDUM OF LAND LEASE AGREEMENT is made and entered into as <br />of , 2005 by and between City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California ("Lessor'"j and Omnipoint Communications Inc., a subsidiary of T-Mobile USA, Inc., <br />a Delaware corporation ('Lessee). <br />WITNESSETH: <br />That Lessor hereby leases to Lessee and Lessee hereby leases from Lessor a portion of <br />that certain real property (the "Property's in the State of California, County of Orange, City of <br />Santa Ana commonly known as Jerome Park, 888 West Santa Ana Blvd., Santa Ana, CA, 92702, <br />a legal description of which is shown in Exhibit A attached hereto and incorporated herein by <br />reference, under the terms and conditions of the unrecorded Land Lease Agreement by and <br />between Lessor and Lessee dated by Lessor , 2005, and incorporated <br />herein by reference (the "Agreement") for an initial term of ten (10) years, commencing on the <br />Commencement Date, as defined in the Agreement, and three (3) subsequent optional extension <br />terms of five (5) years each, pursuant to the terms of the Agreement.
