INSURANCE UN FILE WORK MAY PROCEED UNTIL INSURANCE EXPIRES c~ - / ' l~s CLERK OF COUNCIL DATE: dl '~-!V~ (~ = ~(~ FIRST AMENDMENT TO CONSULTANT AGREEMENT A-2004-216 1=1SC1~ THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on ~}-pb~ ~- , 2004, by and between Adlerhorst International, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into Consultant Agreement A-2003-180, dated October 1, 2003 (hereinafter "said Agreement") by which Consultant has provided police canine training services. B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the term of said Agreement, to amend the Scope of Services and to increase the compensation to pay for services during the extended term. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to read as follows: "Consultant shall perform those services as set forth in Exhibit A-1 to this Amendment." 2. Section 2.a. COMPENSATION, shall be amended to read as follows: "a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A-1. The total sum to be expended under this Agreement shall not exceed $36,700.00 during the extended term of said Agreement, from October 1, 2004 through September 30, 2005." 3. Section 3, TERM, shall be amended to read as follows: "This Agreement shall commence on October 1, 2003 and terminate on September 30, 2005, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon a writing executed by the Chief of Police and the City Attorney." 4. Except as amended hereinabove, all terms and conditions of said Agreement shall remain in full force and effect.
