AGREEMENT BETWEEN THE CITY OF SANTA ANA <br />AND <br />ASAP SOFTWARE <br />C0_I <br />a,4(10 THIS AGREEMENT, is made and entered into this/ day of JV , 2004, by and <br />between the City of Santa Ana, a charter city and municipal corporation dul organized and <br />existing under the Constitution and laws of the State of California ( "City ") and ASAP Software. <br />( "Vendor"). <br />RECITALS <br />A. The City desires to retain a vendor to provide the City with anti -virus software and <br />services from Trend Micro Inc. <br />B. Vendor represents that it is able and willing to provide such services to the City and <br />further represents that it is knowledgeable in its field and that any services performed by <br />Vendor under this Agreement will be performed in compliance with such standards as <br />may reasonably be expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. Terms and Conditions <br />The term of this Agreement shall be for a period of up to four years, beginning on August <br />1, 2004, and ending no later than August 31, 2008. <br />All terms and conditions more fully set forth in the following shall have full force and <br />effect in this Agreement: <br />a. County of San Joaquin, Request For Proposal for Anti -Virus Software for use in <br />California counties and Cities, dated June 2003 (Exhibit A) <br />b. Antivirus Software Agreement between County of San Joaquin and ASAP Software, <br />dated October 24, 2003 (Exhibit B) <br />c. ASAP Software letter, Re: CCISDA Antivirus Addendum language, terms and pricing, <br />to: Jerry Becker, Assistant CIO, San Joaquin County— acting on behalf of CCISDA, dated <br />September 16, 2003 (Exhibit C) <br />d. Quotation by ASAP Software to City of Santa Ana, quotation # RAH04070101, dated <br />August 31, 2004 (Exhibit D) <br />Said terms and conditions are attached hereto as Exhibits A, B, C and D, which are <br />incorporated herein by reference. <br />2. Scope of Services <br />The Vendor shall provide anti -virus software and services from Trend Micro Inc. as <br />defined in Exhibits A, B, C and D. <br />
