INSURANCE Nor ON mE WORK MAY NOT PROCEED CLERK OF COUNCIL OATU/-~.-()'Í SECOND AMENDMENT TO PURCHASE AGREEMENT c.: ¡:::¡ ÌJ THIS SECOND AMENDMENT TO PURCHASE AGREEMENT is entered into this 30th day of September 2004, by and between OPEX Corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of Cali fomi a ("City"). Recitals: A. The parties entered into Purchase Agreement No. A-2002-031 dated April 3, 2002, (hereinafter "said Agreement") by which Consultant sold to City, and has provided service and maintenance for an automated mail-opening machine. B. The term of said Agreement expired July 29, 2004, however, the Consultant continued to provide services to City. The Parties intended to extend said Agreement for an additional one-year term. C. In accordance with the intent of the parties, the term of said Agreement shall be extended for an additional one-year period. Wherefore, in consideration ofthe covenants contained in said Agreement, and subject to all the terms and conditions of the Agreement, except those amended in this Second Amendment to Purchase Agreement, the parties agree as follows: 1. Section I, SCOPE OF SERVICES, shall be amended to provide that Consultant shall service the equipment for an additional one-year term, from August I, 2004 through July 31, 2005, at a cost of $2,500.00 for all maintenance services provided during that one-year term. 2. Section 3, TERM, of said Agreement shall be amended to extend Consultant's obligation to maintain the Model 51 mail opening machine for an additional one-year period, from July 29, 2004 through July 31,2005. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II
