iNSURANCE ON FILE <br />WORK MAY PROCEED <br />UNTIL INSURANCE EXPIRES <br />CLERK OF COUNCIL <br />DATE: IL-iS-o4 <br />~,; PD <br />~5~' <br />AGREEMENT FOR THE PROVISION OF <br />INMATE MEDICAL SERVICES <br />BETWEEN <br />CITY OF SANTA ANA <br />AND <br />CORRECTIONAL MANAGED CARE MEDICAL CORPORATION <br />A-2004-231 <br />THIS AGREEMENT is made and entered into this j~~day of, 2004 <br />by and between CORRECTIONAL MANAGED CARE MEDICAL CORPORATION, a <br />California corporation (hereinafter "Contractor"), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State of <br />California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a Contractor having special skill and knowledge in the field of <br />providing inmate medical services. <br />B. Contractor represents that Contractor is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standazds as may reasonably be <br />expected from a professional firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />TERM <br />This Agreement shall commence on September 1, 2004 and terminate on August 31, <br />2005, unless terminated eazlier in accordance with Section 15, below. The term may be renewed <br />for two additional one-yeaz periods. <br />2. SCOPE OF SERVICES <br />Contractor shall provide medical services to inmates at the Santa Ana Jail, as set forth in <br />Exhibit A to this Agreement. <br />3. COMPENSATION <br />a. The Total Annual Sum to be expended under this Agreement for staffing, <br />pharmaceuticals, supplies and other, shall not exceed $857,784.00, during Period One - <br />September 1, 2004 through August 31, 2005, as set forth in Exhibit A attached hereto and <br />incorporated by this reference.
