"ì , 2004, by and between P&D Environmental, a <br />division of P&D Consultants, a California corporation ("Consultant") and the City of <br />Santa Ana, a charter city and municipal corporation of the State of California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement A-2004-135, dated July 16,2004, (hereinafter <br />"said Agreement") by which Consultant has provided environmental consulting <br />services to update the French Park Traffic Management Plan traffic, noise and air <br />studies. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend the Scope of Services to include additional analysis. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />1. Section 1, SCOPE OF SERVICES, shall be amended to add a second paragraph, "b", <br />which shall read as follows: <br /> <br />"b. Consultant shall perform the following additional analyses for the French Park <br />Neighborhood Traffic Plan: <br />. Delete from the report, the 2002 analysis and any reference to the Willdan <br />report <br />. Incorporate the new City provided traffic count for Bush Street <br />. Add a new alternate 2010 analysis, "2010 without One Broadway Plaza <br />Project" that <br />0 Removes all One Broadway Plaza projected traffic and mitigation <br />measures <br />0 Includes all other previously identified cumulative projects <br />0 Includes the "Mid- Town Specific Plan" mitigation measure of adding <br />a third northbound lane on Main Street. <br /> <br />2. Section 2, COMPENSA nON, shall be amended to include a new 2.c., which shall <br />read as follows: <br /> <br />"c. Regarding the additional services which are the subject of the First Amendment <br />to Agreement, City agrees to pay, and Consultant agrees to accept as total payment <br />for its services, the rates and charges identified in Exhibit A-I, attached to this <br />Amendment and incorporated by reference.
