L>.Jo~) THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into on ~-ù ;¿.o , 2004, by and between Tetra Tech, Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"). Recitals: A. The parties entered into an Agreement dated May 3, 2004, (hereinafter "said Agreement") by which Consultant has prepared plans, specifications and cost estimates, and provided construction support services for the elevated water tank improvements. B. In accordance with the terms and conditions of said Agreement, the parties wish to add to the Scope of Services, increase compensation and extend the term in order to allow for additional services by Consultant. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: I. Section I, SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: "Consultant shall prepare plans, specifications and cost estimates, and provide construction support services for improvements to the City's elevated water tank, as set forth in Consultant's 'Proposal', dated April 14, 2004, attached to said Agreement as Exhibit A, and Consultant's 'Request for Budget Increase Due to Extra Work', dated December 3, 2004, attached hereto as Exhibit A-I and incorporated by this reference. " 2. Section 2.a, COMPENSATION, shall be increased by $11,500.00. The total compensation for all services provided by Consultant shall not exceed $45,000.00. 3. Except as hereinabove modified, all terms and conditions of said Agreement shall remain in full force and effect. II II
