AGREEMENT NO. C.2.0896 5.6.3 The Centerline Outreach Project Manager shall review and approve the original invoice, and send it to OCTA's Accounting Department with the faxed City approved invoice attached within one week of receiving the City's approval. 5.6.4 OCT A shall make payment within 30 calendar days of the Accounting Department receiving the invoice, unless unusual circumstances arise. The aCTA Centerline Outreach Project Manager shall be responsible for tracking invoice payment status. ARTICLE 6 INDEMNITY 6.1 Indemnification The City shall indemnify, defend and hold harmless the Authority, it's officers, directors, employees and agents from, and against any and all claims (including attorney's fees and reasonable expenses for litigation or settlement) for any loss or damages, bodily injuries, damage to, or loss of property caused by the negligent acts, omissions or willful misconduct by the City, its officers, directors, employees, or agents in connection with or arising out of the performance of the Agreement.
