<br />AGREEMENT NO. C.2.0896 <br /> <br /> <br />5.6.3 The Centerline Outreach Project Manager shall review and approve the <br />original invoice, and send it to OCTA's Accounting Department with the <br />faxed City approved invoice attached within one week of receiving the <br />City's approval. <br /> <br />5.6.4 OCT A shall make payment within 30 calendar days of the Accounting <br />Department receiving the invoice, unless unusual circumstances arise. <br />The aCTA Centerline Outreach Project Manager shall be responsible for <br />tracking invoice payment status. <br /> <br />ARTICLE 6 <br /> <br />INDEMNITY <br /> <br />6.1 Indemnification <br /> <br />The City shall indemnify, defend and hold harmless the Authority, it's officers, directors, <br />employees and agents from, and against any and all claims (including attorney's fees <br />and reasonable expenses for litigation or settlement) for any loss or damages, bodily <br />injuries, damage to, or loss of property caused by the negligent acts, omissions or willful <br />misconduct by the City, its officers, directors, employees, or agents in connection with <br />or arising out of the performance of the Agreement. <br /> <br />The Authority shall indemnify, defend and hold harmless City, it's officers, directors, <br />employees and agents from, and against any and all claims (including attorney's fees <br />and reasonable expenses for litigation or settlement) for any loss or damages, bodily <br />injuries, damage to, or loss of property caused by the negligent acts, omissions or willful <br />misconduct by the Authority arising out of the performance of this Agreement. <br />, " <br /> <br />ARTICLE 7 <br /> <br />MISCELLANEOUS PROVISIONS <br /> <br />7.1 <br /> <br />Approvals; Further Documents <br /> <br />Where the Agreement requires approval, consent, permission, satisfaction, agreement, <br />or authorization by either party, such approval, consent, permission, satisfaction, <br />agreement, or authorization shall not be unreasonably withheld.
