C-2-0896 <br /> <br />2 <br /> <br />3 <br /> <br />BETWEEN <br />THE CITY OF SANTA ANA <br /> <br />4 <br /> <br />5 <br /> <br />AND <br /> <br />ORANGE COUNTY TRANSPORTATION AUTHORITY <br />-fi.. <br />THIS AMENDMENT NO.1 is made and entered into this ~ day of -1J('.-6<.~ b -v- , 2004, <br /> <br />6 <br /> <br />7 <br /> <br />8 <br /> <br />by and between the Orange County Transportation Authority ("Authority") and the City of Santa Ana <br /> <br />9 <br /> <br />("City"). <br /> <br />10 <br /> <br />WITNESSETH: <br /> <br />11 <br /> <br />WHEREAS, by Agreement No. C-2-0896 dated June 24, 2002, Authority and City entered <br /> <br />12 <br /> <br />into a cooperative agreement for City and Authority to cooperate to the end that the Centerline <br /> <br /> <br />Light Rail System planning, engineering, and environmental activities are undertaken and completed <br /> <br />13 <br /> <br />14 <br /> <br />in ways that meet the mutual; objectives and goals of the parties; and <br /> <br />15 <br /> <br />WHEREAS, the Authority desires, and City has agreed, to define the term of this Agreement <br /> <br />16 <br /> <br />and to define the allowable overhead billing percentage at no increase in the reimbursable not to <br /> <br />17 <br /> <br />exceed amount and; <br /> <br />18 <br /> <br />WHEREAS, the Authority desires, and City has agreed, to amend the funding amounts for <br /> <br />19 <br /> <br />Public Involvement On-Call Consultant Services; <br /> <br />20 <br /> <br />NOW, THEREFORE, it is mutually understood and agreed by Authority and City that <br /> <br />21 <br /> <br />Agreement No. C-2-0896 is hereby amended in the following particulars only: <br /> <br />22 <br /> <br />1. <br /> <br />Amend ARTICLE 3. WORK AUTHORIZATION AND PAYMENTS, paragraph 3.4, <br /> <br />23 <br /> <br />Payment of Invoices, page 9, to add the words "Allowable overhead shall be as defined for Local <br /> <br />24 <br /> <br />Agency Forces as identified in the Measure M Combined Transportation Fundinq Proqram Manual, <br /> <br />25 <br /> <br />Chapter 13, Overhead, at an allowable rate not to exceed 30% of payroll and fringe benefits." <br /> <br />26 <br /> <br />/ <br /> <br />Page 1 of 5 <br />
