A RESOLUTION OF THE HOUSING AUTHORITY OF THE CITY OF SANTA ANA CONSENTING TO THE SALE OF THE TRADEWINDS SANTA ANA SENIORS APARTMENTS PROJECT AND AUTHORIZING CERTAIN OFFICERS TO ACT ON BEHALF OF THE AUTHORITY WHEREAS, the Housing Authority of the City of Santa Ana has previously issued its Multi-Family Housing Revenue Bonds 1985 Series A (Fannie Mae program) (the "Bonds"); and WHEREAS, the Regulatory Agreement requires the project, the prior written consent of the obtained; and that prior to the sale of Authority must be WHEREAS, to sell the thereto. Pulliam properties, Inc., the owner of the Project, desires Project and has requested the consent of the Authority NOW, THEREFORE, the Housing Authority of the City of Santa Ana does hereby resolve as follows: SECTION 1. The Authority hereby consents to and approved the sale of the project by Pulliam properties, Inc. to Frank Joseph Ariaza and Julia Araiza as Trustees of the Frank J. Araiza Family Trust pursuant to, among other documents, the Regulatory Agreement, Assignment and Assumption (I) and the beveloper Loan Documents, Assignment and Assumption (II) copies of which are attached hereto and incorporated herein. SECTION 2. The Authority hereby designates and authorizes the Executive Director or his designee to take all actions and to execute any certificates or other documents in connection with the fulfillment of the Authority's obligations under the Indenture, Financing Agreement, Regulatory Agreement or other bond documents in connection with the Bonds.
