No alteration or variation of the terms of this Agreement shall be valid unless made in <br /> writing and signed by the parties hereto, and no oral understanding or agreement not <br /> incorporated herein shall be binding on any of the parties hereto. <br /> <br />13. This Agreement shall terminate upon completion of construction of PROJECT and upon <br /> final payment to CITY by STATE, pursuant to Section II, Article 2 of this Agreement, or <br /> on December 31, 2005, whichever is earlier in time; however the ownership, maintenance, <br /> liability, claims and Section III, Provision 8 shall remain in effect until terminated or <br /> modified in writing by mutual agreement. <br /> <br />5 <br /> <br /> <br />
