<br />, ;,' ,. r <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />NOW, THEREFORE, THE COMMUNITY REDEVELOPMENT AGENCY OF <br />THE CITY OF SANTA ANA DOES HEREBY RESOLVE, DETERMINE AND ORDER <br />AS FOLLOWS: <br /> <br />Section 1. Definitions. As used in this Resolution, <br />the following terms shall have the following meanings, unless <br />the context otherwise requires: <br /> <br />(a) "Bond" or "Bonds" means the "Community <br />Redevelopment Agency of the City of Santa Ana, City of <br />Santa Ana Redevelopment Project Area Tax Allocation <br />Refunding Bonds, 1983," authorized by this Resolution, <br /> <br />(b) "Bond Year" means the twelve (12) month period <br />commencing on April 1 of each year. <br /> <br />(c) "Bondholder" or "Holder of Bonds," or any similar <br />term, means any person who shall be (i) the holder of any <br />outstanding Bond payable to bearer (sometimes referred to <br />herein as "Bearer Bonds"), or (ii) the registered owner or <br />his duly authorized attorney, trustee, representative or <br />assign of any outstanding Bond which shall at the time be <br />registered so as to be payable other than to bearer. For <br />the purpose of Bondholders' voting rights or consents, <br />Bonds owned by or held for the account of the Agency, or <br />the City, directly or indirectly, shall not be counted. <br /> <br />(d) <br /> <br />"City" means the City of Santa Ana, California. <br /> <br />(e) "Federal Securities" means direct obligations of <br />the United States of America or bonds or other obligations <br />for which the full faith and credit of the United States is <br />pledged for the payment of principal and interest. <br /> <br />(f) "Fiscal Agent" means the fiscal agent appointed <br />by the Agency pursuant to Section 20 hereof, its successors <br />and assigns, and any other corporation or association which <br />may at any time be substituted in its place, as provided in <br />this Resolution. <br /> <br />(g) "Independent Financial Consultant," "Independent <br />Engineer, ""Independent Certified Public Accountant" or <br />"Independent Redevelopment Consultant" means any individual <br />or firm engaged in the profession involved, appointed by <br />the Agency, and who, or each of whom, has a favorable <br />reputation in the field in which hisjher opinion or <br />certificate will be given, and: <br /> <br />(1) is in fact independent and not under <br />domination of the Agency; and <br /> <br />(2) does not have any substantial interest, <br />direct or indirect, with the Agency; and <br /> <br />02-22-83 <br />4l41P/2306/00 <br /> <br />SA <br /> <br />-2- <br /> <br />19-19 <br />
