<br />all other purposes, and all such payments so made to any such registered owner <br />or upon his order shall be val id and effectual to satisfy and discharge the <br />1 iability upon such Bond to the extent of the sum or sums so paid, and neither <br />the Agency nor the Trustee shall be affected by any notice to the contrary. <br />The Agency agrees to indemnify and save the Trustee harmless from and against <br />any and all loss, cost, charge, e'xpense, judgment or liability, including <br />costs and expenses of litigation and attorneys' fees, incurred by it, acting <br />in good faith and without gross negligence hereunder, in so treating such <br />registered owner. <br /> <br />212. Regulations with Respect to Exchanges and Transfers. In all cases <br />in which the privilege of exchanging bonds or transferring Fully Registered <br />Bonds is exercised, the Agency shall execute and the Trustee shall <br />authenticate and deliver Bonds in accordance with the provisions of this <br />Resolution. All Fully Registered Bonds surrendered in any such exchanges or <br />transfers shall forthwith be cancelled by the Trustee. All coupon Bonds and <br />the coupons apperta in ing to such Bonds surrendered in any such exchanges or <br />transfers shall be retained in the possession of the Trustee for the purpose <br />of reissuance upon subsequent exchanges and the Trustee, prior to the <br />reissuance of any such Bond shall detach therefrom and cancel all matured <br />coupons. For every such exchange or transfer of Bonds, .whether temporary or <br />definitive, the Trustee may make a charge sufficient to reimburse it or the <br />Agency for any tax, fee or other governmental charge, other than one imposed <br />by the Agency, required to be pai d with respect to such exchange or transfer, <br />which sum or sums shall be paid by the person requesting such exchange or <br />transfer as a condition precedent to the exercise of the privilege of making <br />such exchange or transfer. Notwithstanding any other provision of this <br />Resolution, the cost of preparing each new coupon Bond or Fully Registered <br />Bond with respect to. the first exchange or transfer, and any other expenses of <br />.-the Agency or the Trustee incurred in connection therewith (except any <br />applicable tax, fee or other governmental charge, other than one imposed by <br />the Agency) shall be paid by the Trustee on behalf of the Agency either from <br />the Issuance Expense Account or from the Operating Fund. Notwithstanding any <br />other provision of this Resolution, the cost of preparing each new coupon Bond <br />or Fully Registered Bond upon the first exchange or transfer, and any other <br />expenses of the Agency or the Trustee incurred in connection therewith (except <br />any applicable tax, fee or other governmental charge), shall be paid by the <br />Agency and, upon any subsequent exchange or transfer, by the Bondholder. The <br />Trustee shall not be obliged to. make any such exchange or transfer of Bonds <br />during the fifteen (15) days next preceding an Interest Payment Oate or, in <br />the case of any proposed redemption of the 80nds, next preceding the date of <br />the first publication of notice of such redemption. <br /> <br />213. Bond Register. The Trustee shall keep or cause to be kept at its <br />Principal Office a Bond Register, which shall at all times be open to <br />inspection by the Agency; and, upon presentation for such purpose, the Trustee <br />shall, under such reasonable regulations as it may prescribe, register or <br />transfer or cause to be registered or transferred, on the Bond Register, Bonds <br />as hereinbefore provided. <br /> <br />19 <br /> <br />. <br /> <br />. <br /> <br />. <br />. <br /> <br />. <br />. <br />
