<br />. <br /> <br />. <br /> <br />. <br />. <br /> <br />. <br />. <br /> <br />.",,~,"""N"" <br /> <br />",","""""",",., <br /> <br />Trustee or any Paying Agent any instrument elsewhere in this Resolution <br />provided or permitted to be delivered to the Trustee or any Parin~ Agent. <br /> <br />A copy of every Supplemental Resolution adopted by the Agency when filed <br />with the Trustee shall be accompanied by an Opinion of Counsel stating that <br />such Supplemental Resolution has been duly and lawfully adopted in accordance <br />with the provisions of this Resolution, is authorized or permitted by this <br />Resolution and is valid and binding upon the Agency and enforceable in <br />accordance with its terms. ' <br /> <br />The Trustee is hereby authorized to accept del ivery of a certified copy <br />of any Supplemental Resolution permitted or authorized pursuant to the <br />provisions of this Resolution and to make all further agreements and <br />stipulations which may be contained therein, and, in taking such action, the <br />Trustee shall be fully protected in relying on an Opinion of Counsel that such <br />Supplemental Resolution is authorized or permitted by the provision of this <br />Resolution. <br /> <br />No Supplemental Resolution or other document may change, amend or <br />modifying any of the rights or 'obligations of the Trustee or any Paying Agent <br />without the prior written consent of the Trustee or Paying Agent affected <br />thereby. <br /> <br />56 <br />
