<br />1103. Approval by Counsel. The Trustee shall be entitled to receive, <br />and shall be fully protected in relying upon, an Opinion of Counsel as <br />conclusive evidence that any such proposed Supplemental Resolution complies <br />with the provisions of this Resolution, and that it is proper for the Trustee, <br />under the provisions of this Article, to join in the execution of such <br />Supplemental Resolution. <br /> <br />1104. Modifications by Unanimous Consent. The terms. and provisions of <br />this Resolution and the rights and obligations of the Agency and of the <br />Holders of the Bonds and coupons thereunder may be modified or amended in any <br />respect upon the adoption and filing with the Trustee by the Agency of <br />Supplemental Resolution and the consent of the Holders of all of the Bonds <br />then Outstanding, such consent to be given as provided in Section 1102, except <br />that no notice to Bondholders either by mailing or publication shall be <br />required. <br /> <br />1105. <br /> <br />Mailing and Publication. <br /> <br />(A) Any provision. in this Article for the mailing of a notice or <br />other document to Bondholders shall be fully complied with if it is mailed <br />postage prepaid only (i) to each registered owner of Bonds then Outstanding at <br />his address, if any, appearing upon the Bond Register kept by the Trustee; <br />(ii) to each Holder of any Bond payable to bearer who shall have filed with <br />the Trustee within two (2) years preceding such mailing an address for <br />. notices; and (iii) to the Trustee. <br /> <br />(B) Any provision in this Article for publication of a notice or <br />other matter shall require the publication thereof only in any Authorized <br />Newspaper. <br /> <br />1106. Exclusion of Bonds. Bonds owned or held by or for the account of . <br />the Agency shall not be deemed Outstanding for the purpose of consent or other <br />action or any calculation of Outstanding Bonds provided for in this Article, <br />and the Agency shall not be entitled with respect to such Bonds to give any <br />consent or take any other action provided for in this Article. At the time of <br />any consent or other action taken under this Article, the Agency shall furnish <br />the Trustee a certificate of an Authorized Officer, upon which the Trustee may <br />rely, describing all Bonds so to be excluded. <br /> <br />1107. Notation on Bonds. Bonds del ivered after the effective date of <br />any action taken as in Article X or this Article provided may, and, if the <br />Trustee so determines, shall, bear a notation by endorsement or otherwise in <br />form approved by the Agency and the Trustee as to such action, and in that <br />case, upon demand of the Holder of any Bond Outstanding .at such effective date <br />and upon presentation of said 80nd for the purpose at the Principal Office of <br />the Trustee, suitable notation shall be made on such Bond by the Trustee as to <br />any such action. If the Agency or the Trustee shall so determine, new Bonds <br />so modified as in the opinion of the Trustee and the Agency to conform to such <br />action shall be prepared and delivered, and upon demand of the Holder of any <br /> <br />59 <br /> <br />. <br /> <br />. <br /> <br />. <br />. <br /> <br />. <br />. <br />
