COUNCIL <br />DATE.). -,< -05 <br /> <br />c:p\:) <br />(R.6nibrLw <br /> <br />FIRST AMENDMENT TO AGREEMENT <br /> <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on Jaunuary 3, <br />2005, by and between Principal Decision Systems International, Inc., a California <br />corporation ("PDSl") and the City of Santa Ana, a charter city and municipal corporation <br />of the State of California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement #N-2004-052, dated May 28, 2004, (hereinafter <br />"said Agreement") by which PDS1 has provided software maintenance, updates and <br />telephone and web based support for the Fire Department's staffing software. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />renew said Agreement for an additional one-year period and to increase compensation <br />to pay for the services during the extended term. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Agreement, the parties agree as follows: <br /> <br />1. A new Section 2.a.I, COMPENSATION, shall be added to read as follows: <br /> <br />"City agrees to pay, and PDSI agrees to accept as total payment for its services <br />provided from January 1,2005 through December 31,2005, a TeleStaff annual <br />maintenance fee of$3,205.00 and a WebStaff annual maintenance fee of $4,320.00. <br />The total sum to be expended for services provided from January 1,2005 through <br />December 31, 2005 shall not exceed $7,525.00." <br /> <br />2.
