(j;)i\o <br />ct.Ml~ <br /> <br />THIS FIRST AMENDMENT TO CONSULTANT AGREEMENT is entered into <br />on January 3, 2005, by and between Schindler Elevator Corp, a California corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the <br />State of California ("City"). <br /> <br />Recitals: <br /> <br />A. The parties entered into Agreement #N-2003-13I, dated July I, 2003, (hereinafter <br />"said Agreement") by which Consultant has provided preventative maintenance and <br />repairs for two elevators at the Santa Ana Regional Transportation Center. <br /> <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />extend the term of said Agreement and increase compensation to pay for services <br />during the extended term. <br /> <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Consultant Agreement, the parties agree as follows: <br /> <br />1. Section 2.a, COMPENSATION, shall be amended to increase compensation by <br />$10,000.00, to read as follows: <br /> <br />"City agrees to pay, and Consultant agrees to accept as total payment for its services, <br />$406.00 per month. The total sum to be expended under this Agreement shall not <br />exceed $10,000.00, annually, during the term of this Agreement." <br /> <br />2. Section 3, TERM, shall be amended to extend the termination date six months, from <br />June 30, 2005 through December 31,2005. <br /> <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br /> <br />II <br /> <br />II <br /> <br />II <br /> <br />
