FIRST AMENDMENT TO AGREEMENT Recitals: A. The parties entered into Agreement A-2003-225, dated November 3, 2003, (hereinafter "said Agreement") by which Consultant has provided janitorial services for the Santa Ana Police Department, Jail Facility and grounds. B. In accordance with the terms and conditions of said Agreement, the parties wish to increase compensation to pay for services during the second year of a three-year term. Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Consultant Agreement, the parties agree as follows: 1. Section 2. a, COMPENSATION, shall be deleted in its entirety and replaced with the following: "City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A-I, attached to this First Amendment. Compensation to be paid during this second year of said Agreement shall not exceed $370,000.00 during the term from December 1, 2004 through November 30, 2005. Total compensation to be expended under this Agreement shall not exceed $707,000.00 during the term of said Agreement." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. II II II II II
