e iN>URANCE NUT USV , ~Lk WORK MAY N07 PROCEED l~-~ac6- cam CLERK 0~ COUNCIL DATEc ~ `~~~'~ THIRD AMENDMENT TO FOOD SERVICE AGREEMENT p P~ THIS THIRD AMENDMENT TO FOOD SERVICE AGREEMENT is made and entered F;'sct~t- into this 7th day of Febrnazy 2005, by and between the City of Santa Ana, a charter city and municipal corporation of the State of California, ("City") and Aramark Correctional Services, Inc., a Delaware corporation ("Aramark"). RECITALS: City and Aramakk entered into Agreement #A2002-007, dated January 22, 2002, ("said Agreement") which grants Aramark the exclusive right to provide food service for the inmates, staff and visitors for the Police Administration and Holding Facility located at 60 and 62 Civic Center Plaza, Santa Ana, California. 2. The Parties wish to increase compensation available for the term from February 1, 2004 through January 31, 2005 to pay for an increase in the number of meals served during that term. 3. City and Aramark wish to amend the "Price per meal" in accordance with the terms of said Agreement and to increase the compensation to pay the increased per meal price during the term from February 1, 2005 through January 31, 2006. WHEREFORE, in consideration of the mutual and respective covenants and promises contained in said Agreement, and subject to all the terms and conditions of said Agreement, City and Aramark agree as follows: Exhibit A shall be amended to increase the "price per meal" for inmate meals to $1.939 per meal for the period from February 1, 2005 through January 31, 2006. 2. Section 1, SCOPE OF SERVICES, shall be amended to delete paragraph 1. a, FOOD SERVICE TO OTHER AGENCIES, in its entirety and replace it with the following: "l.a. FOOD SERVICE TO OTHER AGENCIES The parties hereby agree that Aramark may provide food service to other cities, counties and/or local agencies operating inmate holding facilities, as set forth in Exhibit A-1, attached hereto and incorporated by this reference. Prior to providing such food service to any inmate holding facility located in Orange County, Aramark shall obtain the written consent of the Chief of Police of the City of Santa Ana." i~ Section 2, COMPENSATION, shall be deleted in its entirety and replaced with the following:
