<br />Recitals:
<br />
<br />1. The parties hereto entered into a certain agreement
<br />
<br />dated August 2, 1976, as amended on May 7, 1979, January 21, 1985,
<br />
<br />January 19, 1988 and March 20, 1989, hereinafter referred to as
<br />
<br />"said agreement as amended," for the purpose of employing ATTORNEYS
<br />
<br />to assist the City Attorney in the defense of actions for damages
<br />
<br />against CITY, its agencies, officers and employees.
<br />
<br />2. CITY and ATTORNEYS desire to amend the fee schedule
<br />
<br />of said agreement as amended.
<br />
<br />\~EREFORE, in consideration of the respective and mutual
<br />
<br />covenants and promises hereinafter contained and made, and subject
<br />
<br />to all the terms and conditions hereof, the parties hereto do
<br />
