<br />6. SUBGRANTEE agrees that expenditures beyond that budgeted in this <br />agreement will be the responsibility of SUBGRANTEE. <br /> <br />7. If additional grant funds become available, CITY will notify <br />SUBGRANTEE, in writing, of their revised budget. SUBGRANTEE is responsible to <br />stay within the guidelines of the revised budget. <br /> <br />8. Upon receipt of a Training Reimbursement Application (Attachment B) <br />CITY, as soon as practical and not to exceed 30 days, shall submit the request to the <br />Office of Homeland Security for reimbursement. <br /> <br />9. Once submitted, SUBGRANTEE understands that the CITY shall have <br />60 days to reimburse SUBGRANTEE, or longer if the Office of Homeland Security <br />takes longer to issue payment to the CITY. <br /> <br />10. By executing this Agreement, SUBGRANTEE agrees to comply with <br />and be fully bound by all applicable provisions of the Attachments hereto and shall <br />be fully responsible to follow grant guidelines. <br /> <br />11. Each party agrees to indemnify, defend and save harmless the other <br />party and the agency from which CITY received grant funds, and their officers, <br />agents and employees from any and all claims and losses accruing or resulting from <br />the performance of any of the provisions of this Agreement, including the <br />Attachments hereto, and from any and all claims and losses accruing or resulting to <br />any person, firm, or corporation who may be injured or damaged by Indemnitor in the <br />performance of this Agreement, including the Attachments hereto. <br /> <br />12. No alteration or variation of the terms of this Agreement shall be valid <br />unless made in writing and signed by duly authorized representatives of the parties <br />hereto, and no oral understanding or agreement not incorporated herein shall be <br />binding on any of the parties hereto. <br /> <br />13. SUBGRANTEE may not assign this Agreement in whole or in part <br />without the express written consent of CITY. <br /> <br />14. For a period of three years after final delivery hereunder or until all <br />claims related to this Agreement are finally settled, whichever is later, <br />
