<br />. <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />. <br /> <br />(B) The coupons to be attached to the Bearer Bonds shall be <br />signed by the facsimi le signature of the Executive Di rector or Ass i stant <br />Executive Director or in such other manner as may be required by law; and the <br />Agency may adopt and use for that purpose the facsimile signature of any <br />person .or persons wh.o shall have been Executive Director or Assistant <br />Executive Director of the Agency at any time on or after the date of adoption <br />of the Resolution notwithstanding that such person may not have been such <br />Executive Director or Assistant Executive Direct.or at the date of any such <br />Bond or may have ceased to be such Executive Director or Assistant Executive <br />Director at the time when any such Bond shall be actually delivered. <br /> <br />(C) Only B.onds authenticated by the manual endorsement thereon <br />of a certificate substantially in the form hereinafter set forth and executed <br />by an auth.orized officer of the Trustee shall be valid and become obligatory <br />for any purpose under and be secured by, and be entitled t.o the benefits of, <br />this Resoluti.on; and every such certificate of the Trustee upon any Bond <br />purporting to be secured hereby shall be conclusive evidence that the Bond so <br />authenticated has been duly issued hereunder, and that the H.older is entitled <br />to the benefits of this Resolution and to the benefit of the trust hereby <br />created. Before authenticating and delivering any Bearer B.ond hereunder, the <br />Trustee shall remove and cancel any coupons thereon then matured except <br />c.oupons in default. <br /> <br />304. Interchangeability of Bonds. Bearer Bonds, upon surrender thereof <br />at the Principal Office of the Trustee with all unmatured coupons attached <br />(t.ogether with any matured coupons in default appertaining thereto), may, at <br />the .option of the H.older thereof, be exchanged for an equal aggregate <br />principal amount of Fully Registered Bonds of the same maturity and of any <br />other author i zed denomi nat ions. <br /> <br />Fully Registered Bonds, upon surrender thereof at the Principal <br />Office of the Trustee with a written instrument .of transfer satisfact.ory t.o <br />the Trustee, duly executed by the registered .owner or his attorney duly <br />authorized in writing, may, at the option of the registered owner thereof, be <br />exchanged for an equal aggregate principal amount .of Bearer Bonds .of the same <br />maturity with appropriate coupons attached, or of Fully Registered Bonds .of <br />the same maturity and of any .other a¡¡thorized denominations. <br /> <br />305. Negotiability, Transfer and Registry. All the Bonds issued under <br />this Resolution shall be negotiable, subject to the provisions for <br />registration and transfer contained in this Resolution and in the Bonds. So <br />long as any of the Bonds shall remain Outstanding, the Trustee shall maintain <br />and keep, at its Principal Office, books for the registration and transfer of <br />Bonds; and, upon presentation thereof for such purpose at said office, the <br />Trustee shall register or cause to be registered therein, and permit to be <br />transferred thereon, under such reas.onable regulati.ons as the Agency or the <br />Trustee may prescribe, any Bond entitled t.o registration or transfer. So l.ong <br />as any .of the Bonds remain Outstanding, the Agency shall make all necessary <br />provisi.ons to permit the exchange of Bonds at the Principal Office of the <br />Trustee. <br /> <br />20 <br />
