THIS DOCUMENT IS EXEMPT FROM RECORDING FEES PURSUANT TO <br />SECTION 27383 OF THE CALIFORNIA GOVERNMENT CODE. <br /> <br />SITE LEASE <br /> <br />THIS SITE LEASE (this "Site Lease"), dated as of , 2005, is by and between the <br />CITY OF SANTA ANA, a municipal corporation and chartered city duly organized and <br />existing under and by virtue of the laws of the State of California (the "City"), as lessor, and the <br />SANTA ANA FINANCING AUTHORITY, a joint exercise of powers authority duly organized <br />and existing under and by virtue of the laws of the State of California (the" Authority"), as <br />lessee; <br /> <br />WITNESSETH: <br /> <br />WHEREAS, the Authority intends to assist the City in undertaking the financing of the <br />costs of a parking structure on City-owned property located adjacent to the proposed State <br />Appellate Court Building in Santa Ana, California (the "Improvements"), by leasing certain <br />existing real property and the Improvements to be constructed thereon to the City pursuant to a <br />Lease Agreement, dated as of . 2005 (the "Lease Agreement"); and <br /> <br />WHEREAS, the City proposes to enter into this Site Lease with the Authority as a <br />material consideration for the Authority's agreement to lease such real property and the <br />Improvements to the City; <br /> <br />NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED, as follows: <br /> <br />Section 1. Definitions. Capitalized terms used, but not otherwise defined, in this Site <br />Lease shall have the meanings ascribed to them in the Lease Agreement. <br /> <br />Section 2. Site Lease. The City hereby leases to the Authority and the Authority hereby <br />leases from the City, on the terms and conditions hereinafter set forth, that certain parcel of real <br /> <br />19014.06 <br /> <br />JT25S-8 <br />
