("Consultant") and the City of Santa Ana, <br />("City"). <br />Recitals: <br />A. City and Consultant entered into Consultant Agreement #A-2004-267, dated December 20, <br />2004, (hereinafter "said Agreement") by which Consultant has provided cable franchise <br />renewal and financial audit services. <br />B. In accordance with the terms and conditions of said Agreement the parties wish to increase <br />compensation by $20,000.00 to provide for additional services provided during the franchise <br />renewal negotiations. <br />Wherefore, in consideration of the covenants contained in said Agreement, and subject to all the <br />terms and conditions of said Agreement, except those amended in this Amendment to Consultant <br />Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br />"a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the <br />rates and charges identified in Consultant's "Summary of Fees and Services", attached to <br />hereto as Attachment 1. The total sum to be expended under this Agreement shall not exceed <br />$50,100.00 during the term of this Agreement." <br />IN WITNESS WHEREOF, the parties hereto have executed this Amendment to Consultant <br />Agreement on the date and year first written above. <br />ATTEST: <br />PATRICIA E.
